1.0 Acceptance of Terms

1.1 Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Kıyanus Ltd. Şti. ("Kıyanus," "we," "us," or "our"), concerning your access to and use of the Kıyanus website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. Our Privacy Policy is incorporated by reference into these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

1.2 Eligibility

The Service is intended for users who are at least 18 years old or the age of legal majority in their jurisdiction. Persons under the age of 18 are not permitted to use or register for the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this agreement.

2.0 The Service: An Online Marketplace

2.1 Nature of the Platform

The Service functions as an online marketplace designed to enable users, including property seekers, property owners, and real estate agents, to publish, search for, and find information about real estate properties and real estate professionals. Kıyanus provides a neutral venue or platform for these interactions.

2.2 Kıyanus is Not a Party to Transactions

It is critical to understand that Kıyanus is not a real estate broker, agent, or lender. We are not a party to any agreement, contract, or transaction that may arise between users of the Service (e.g., a rental agreement between a tenant and landlord, or a listing agreement between a property owner and a real estate agent). We do not buy, sell, lease, or otherwise transact in real estate. Consequently, we have no control over and do not guarantee the quality, safety, legality, or existence of the properties advertised; the truth or accuracy of the listings or other User Content; the ability of agents to provide services; or the ability of property seekers to complete a transaction. Our role is strictly limited to providing the platform for these connections to occur.

3.0 User Accounts

3.1 Account Creation

To access and use certain features of the Service, you may be required to register for an account. You agree to provide true, accurate, current, and complete information about yourself as prompted by the registration form. You also agree to maintain and promptly update your registration data to keep it true, accurate, current, and complete.

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account password and are fully responsible for all activities that occur under your account. You agree not to disclose your password to any third party. You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.

4.0 User-Generated Content

4.1 Your Content

The Service allows users to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). This includes property listings, photos, descriptions, reviews, and profile information. You are solely and entirely responsible for all User Content that you post on the Service.

4.2 License Grant to Kıyanus

By making any User Content available through the Service, you hereby grant to Kıyanus a non-exclusive, transferable, worldwide, royalty-free license, with the right to sublicense, to use, copy, modify (for formatting purposes), create derivative works based upon, distribute, publicly display, and publicly perform your User Content in connection with operating, marketing, and providing the Service to you and to our other users. This license allows us to display your property listing to potential buyers or renters and to promote the platform.

4.3 User Content Warranties

You represent and warrant that: (i) you are either the sole and exclusive owner of all User Content you make available through the Service or you have all rights, licenses, consents, and releases that are necessary to grant to Kıyanus the rights in such User Content, as contemplated under these Terms; and (ii) neither the User Content, your posting, uploading, publication, submission, or transmittal of the User Content, nor Kıyanus's use of the User Content (or any portion thereof) will infringe, misappropriate, or violate a third party's patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

5.0 Prohibited Conduct

You agree that you will not, under any circumstances, do any of the following while accessing or using the Service:

• Post, upload, publish, submit, or transmit any User Content that is false, fraudulent, misleading, or deceptive, particularly in relation to property listings.
• Use the Service for any commercial or other purposes that are not expressly permitted by these Terms or in a manner that falsely implies Kıyanus endorsement, partnership, or otherwise misleads others as to your affiliation with Kıyanus.
• Use the Service for any illegal or unauthorized purpose, or engage in, encourage, or promote any activity that violates these Terms or any applicable local, state, national, or international law.
• Infringe upon or violate our intellectual property rights or the intellectual property rights of others, including posting copyrighted material without permission.
• Harass, abuse, stalk, threaten, defame, or otherwise infringe or violate the legal rights (such as rights of privacy and publicity) of any other party.
• Use, display, mirror, or frame the Service or any individual element within the Service, Kıyanus's name, any Kıyanus trademark, logo, or other proprietary information, or the layout and design of any page or form contained on a page, without our express written consent.
• Use any robot, spider, crawler, scraper, or other automated means or interface not provided by us to access the Service, to extract data, or to index any portion of the Service. This practice, often referred to as "scraping," is strictly forbidden without our prior written permission.
• Attempt to decompile, reverse engineer, or disassemble any aspect of the Service or do anything that might discover source code or bypass or circumvent measures employed to prevent or limit access to any area, content, or code of the Service.
• Distribute spam, unsolicited or bulk commercial electronic communications, chain letters, or pyramid schemes through the Service.

Violation of these rules may result in the immediate termination of your account and access to the Service, at our sole discretion.

6.0 Intellectual Property

6.1 Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Kıyanus Ltd. Şti. and its licensors. The Service is protected by copyright, trademark, and other laws of both Turkey and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Kıyanus.

6.2 Copyright Infringement Policy

Kıyanus respects the intellectual property rights of others and expects its users to do the same. It is our policy to respond to notices of alleged copyright infringement that comply with applicable international intellectual property law (including, in the United States, the Digital Millennium Copyright Act). If you believe that any User Content or other material on the Service infringes upon any copyright which you own or control, you may file a notification of such infringement with us. We reserve the right, in our sole discretion, to remove content that is alleged to be infringing and to terminate the accounts of repeat infringers.

7.0 Payments

All payments for subscriptions, premium features, or other services offered on our platform are made directly to Kıyanus Ltd. Şti. To process these payments securely, we use a trusted third-party payment gateway, Iyzico.

By making a purchase, you agree to provide your payment information to Iyzico for processing. The transaction is between you and Kıyanus. We are not responsible for the processing of your payment, and we do not collect, access, or store your full payment card information on our servers. The processing of your payment is subject to the terms, conditions, and privacy policies of Iyzico in addition to these Terms. This structure ensures that your payment data is handled by a specialist compliant with global financial regulations.

8.0 Disclaimers and No Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. KIYANUS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

KIYANUS MAKES NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR (III) THE QUALITY OR ACCURACY OF ANY PROPERTY LISTINGS, AGENT INFORMATION, OR OTHER CONTENT OBTAINED BY YOU THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE. ALL REAL ESTATE INFORMATION DISPLAYED ON THE SERVICE IS SUBJECT TO ERRORS, OMISSIONS, PRIOR SALE OR RENTAL, CHANGE OR WITHDRAWAL WITHOUT NOTICE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM KIYANUS OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE SERVICE. KIYANUS MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF USERS OF THE SERVICE.

9.0 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KIYANUS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (III) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING RELIANCE ON THE ACCURACY OF PROPERTY LISTINGS; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR not WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL KIYANUS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES, IF ANY, THAT YOU PAID TO KIYANUS FOR THE USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY; OR (B) ONE HUNDRED U.S. DOLLARS (
